apoBank seeks consultancy from ADVANT Beiten on strengthening and expanding its sales partnership with AXA through restructuring
In a move to bolster their long-standing partnership, Deutsche Apotheker- und Ärztebank eG (apoBank) and AXA insurance group have announced plans to merge their mobile sales companies, apoFinanz and Deutsche Ärzte Finanz (DÄF), to create the largest financial sales organization for academic health professionals in Germany.
The merger, scheduled for completion in August 2025, aims to strengthen the market position of the combined entity, particularly in the healthcare profession sector. The new company will serve around 320,000 customers and will be supported by approximately 500 independent financial advisors.
apoBank will acquire additional shares in Deutsche Ärzte Finanz as part of the transaction, consolidating ownership and control. The merger is expected to streamline sales activities, boost efficiency, and establish a dominant joint venture in the healthcare financial advisory market, effectively targeting competitors like MLP.
The collaboration between apoBank and AXA, which has spanned over 25 years, is focused on the distribution of financial and insurance products. The combined entity will leverage the customer base and expertise of both apoFinanz and Deutsche Ärzte Finanz to provide integrated financial and insurance services to healthcare professionals.
The restructuring has been accompanied by regulatory filings, including notification to the Bundeskartellamt (Federal Cartel Office).
Legal advice for the redesign and deepening of the joint venture is being provided by the international law firm ADVANT Beiten, who are offering comprehensive legal counsel throughout the process, including merger and acquisition aspects.
apoBank, the largest cooperative retail bank in Germany with a balance sheet total of around 52 billion euros, primarily caters to members of healthcare professions, their professional associations, healthcare facilities, and companies in the healthcare market.
